1. Obligations and Guarantees of the Company

1.1. Bouskad warrants that: (i) the Services will be performed in a professional and professional manner and that none of these Services or any part of this Contract is or will not be incompatible with any obligation that the Consultant may have towards others; (2) All work under this Agreement will be the original work of the Consultant and none of the Services or Inventions or any development, use, production, distribution or exploitation shall infringe, misuse or infringe any intellectual property or other right of any person. or entity (including, without limitation, consultant); (3) the consultant has the full right to provide the company with the assignments and rights provided for herein; (4) The consultant must comply with all applicable laws and company safety regulations during the performance of the services and (5) if the consultant's work requires a license, the consultant has obtained that license and the license is in full force.

1.2. The Company will use all reasonable efforts to meet all performance dates specified in the Order, but such dates will be estimates only and time will not be essential for the provision of the Services. The Company will not be liable for any delay in the delivery of the Services caused by an event of Force Majeure or the Customer's failure to provide the Company with adequate delivery instructions or any other instruction relevant to the provision of the Services.

1.3. The Company has the right to make any changes to the Services that are necessary to comply with any applicable law.

1.4. The Company has the right to use a Group Company or other subcontractors for the provision of the Services, provided that the Company remains liable to the Client for the performance of the Services as if it had performed them itself even.

2. Client's obligations and indemnities

2.1. The Customer will provide support and technical information to the Company, as reasonably required by the Company in sufficient time to facilitate the fulfillment of an Order in accordance with any estimated delivery date or milestone. The Customer is solely responsible for the accuracy of all information provided to the Company and guarantees and guarantees to the Company that the Customer's employees assisting in the execution of an Order have the necessary skills and authority.

2.2. 2.4. In the event that the Client does not undertake these acts or does not provide the materials required under this clause 5 within an agreed time limit (and at least within 15 working days following the date requested by the Company), the Company will be entitled to bill for the Services it has provided and the remaining Services specified in the Order, whether or not the Company has been able to deliver them.

2.5. The Customer will indemnify and keep the Company fully indemnified from all liabilities, costs and expenses whatsoever and in any way incurred by the Company with regard to third parties as a result of the provision of the Services in accordance with the Order, to Specifications or to the content of Customer's advertising or web pages that give rise to claims or lawsuits against the Company for violation of any intellectual property rights or other proprietary rights of third parties, or for violation of confidentiality or contract or for defamation.

2.6. As a standard in the Services and unless otherwise specified, the Client will be solely responsible for implementing any optimization changes recommended by the Company.

3. Responsibility

3.1. Unless expressly stated in this Clause 7, the Company declines all responsibility towards the Customer for any loss or damage whatsoever resulting from or in connection with the provision of the Services or for any claim made against the Customer by a third party.

4. Other Limitations

4.1. The Company will not be responsible for downtime, interference in the form of hacking, viruses, disruptions, interruptions, faulty third-party software, search engines or websites on which any service or others depend. third party deliveries. the Company will use all reasonable efforts to assist in the repair efforts if the Customer requests it. Any work related to the repair efforts described above will be billed to Customer separately in accordance with these Terms or (at the Company's discretion) at the Company's rate applicable from time to time.

4.2. The Company will use all reasonable efforts to provide Services related to search engine optimization, links, advertisements, banners, pay per click and Google Analytics in accordance with the guidelines applicable to the relevant search engines. However, the Company will not be responsible for delayed or non-compliant performance due to changes in standard terms, rating algorithms, search criteria, viewing policy, pricing and campaign offers or any other matter beyond the control of the Company and reserves the right to make changes. to Services as a result of the same. In addition, the Company will not be responsible for other changes or stoppages of the search engines.

4.3. The Company will not be responsible for URLs deleted or excluded by a search engine for any reason.

4.4. If the Client does not implement some or all of the Company's recommendations, the Company cannot be held responsible for any failure encountered by the Client regarding the Services.

5. Force Majeure

5.1. Neither party will be held responsible for an event of force majeure.

5.2. If one party believes that a force majeure event has occurred, that party must immediately notify the other party of the start and end of the force majeure event.

5.3. Notwithstanding the other provisions of these Conditions, each party has the right to terminate the Contract without liability to the other by written notification to the other party in the event that the performance of the Contract is hindered for more than 6 months due to 'a Major Event Force.

6. Assignment

6. This Agreement and the services contemplated below are personal to the Consultant, and the Consultant has no right or ability to assign, transfer or subcontract any obligations under this Agreement without the written consent of the Company. Any attempt to do so will be void.

7. Payment

7.1. The Company will invoice the Customer monthly, either in advance or following the Services provided. Before the Company carries out any work, Customers are generally asked to provide a non-refundable security deposit. This deposit is like a rent deposit. It is stored securely and will be charged to the Customer's last invoice (s) once the work detailed in an order has been completed. In addition, if the Customer does not pay a monthly invoice when it is due, the Company shall use the deposit to pay the invoice and will not do any other work until the deposit has been replaced.

7.2. The Customer must pay each invoice submitted by the Company within 14 working days of the date of the invoice and in cleared funds. The invoice number must be indicated on all payments and payments by direct debit.

7.3. Late payment will be deemed to constitute a material breach of the Agreement authorizing the Company (at its discretion) to terminate the Agreement or to confirm the Agreement and to pursue the usual remedies in the event of breach.

7.4. In the event that the Services cannot be delivered in whole or in part due to the Customer's non-assistance or the delay in assisting with the execution of the Order, the Company will be entitled to invoice the Customer an amount estimate, corresponding to the amount that would have been due if the services had been rendered in accordance with the order. the Company will be entitled to payment based on the Company's price list applicable from time to time for any additional work required as a result of Customer's non-assistance or delay in assistance.

8. Delays and Complaints

8.1. In the event that the Customer proves that the Services are delayed or not in conformity with the Contract, the Company will be obliged to remedy or deliver, at its discretion, without undue delay. In the event that the Services continue to fail to comply with the Contract after reasonable attempts have been made to remedy it, the Customer shall have the right to cancel the Order in accordance with clause 9, provided that the breach is material.

8.2. Complaints about delays or breach of contract should be made immediately after the customer became aware or should have known about the problem. If the Customer does not report the defect (unless, by its very nature, it is impossible to notice it within such a period) to the knowledge of the Company within 48 hours, the Customer will be deemed to have accepted the Services and no 'will not have the right to appeal in case of delay or breach of contract.

8.3. The Customer hereby acknowledges that certain Services are based on goods and / or services provided by third parties (“Third Party Services”). The Client acknowledges that the Third Party Services will be governed by the terms and conditions of such third parties and that the Company cannot provide any warranty with respect to the Third Party Services and will not be liable to the Client for delays and / or breaches in compliance with the same thing. 8.4. The sole responsibility of the Company with respect to Third Party Services is to exercise reasonable care and skill in selecting the providers of such Third Party Services.

8.5. The Customer's exclusive remedies in the event of late delivery or Services not conforming to the Contract are as specified in this clause 8 and, if the remedies provided for in these Conditions have been exhausted, the Customer's last recourse is limited to cancellation of the Contract and of the Company's sole undertaking. the responsibility is to reimburse any payment for Services that do not comply with the Contract, subject to the limitations set out in article 4 above.

8.6 Advertising expenses and automation costs are not reimbursable.

9. Termination

9.1. If either party materially violates any material provision of this Agreement, the other party may terminate this Agreement on five (5) days written notice, unless the violation is remedied within the notice period. The Company may also terminate this Agreement at any time, with or without cause, upon ten (10) days notice, but, if (and only if) without cause, the Company will pay to the Client on termination all unpaid amounts. and undisputed due for the completed Services. before termination.

10.3. 10.4.
